Definitions

In these Terms & Conditions ("Terms"), the following words and expressions shall have the meanings ascribed to them:

• "EcoVault" / "we" / "us" / "our" — EcoVault, a platform operated from India, providing F&B compliance management services to Singapore-based establishments.
• "Platform" — The EcoVault web-based application accessible at ecovault.online, including all features, tools, dashboards, and compliance modules.
• "Services" — The F&B compliance management services provided through the Platform, including maintenance tracking, automated report generation, and audit preparation tools.
• "User" / "you" / "your" — Any individual or legal entity who registers for or accesses the Platform under a valid subscription.
• "Establishment" — The Food & Beverage business premises operated by the User in Singapore for which compliance records are managed on the Platform.
• "Subscription" — A paid plan (Monthly or Annual) granting access to the Services for the applicable Subscription Period.
• "Compliance Records" — Data uploaded by the User, including grease trap maintenance logs, pest control records, temperature monitoring entries, and associated documentation.
• "Regulatory Authorities" — The National Environment Agency (NEA) and the Singapore Food Agency (SFA), or such other governmental bodies as may have jurisdiction over the User's Establishment.

Eligibility & Account Registration

To access and use the Platform, you must:

• Be at least 18 years of age;
• Be operating an F&B establishment in Singapore, or be an authorised representative thereof;
• Provide accurate, complete, and current information during registration;
• Maintain and promptly update your account information to ensure it remains accurate.

You are solely responsible for maintaining the confidentiality of your account credentials. Notify EcoVault immediately at legal@ecovault.online if you suspect any unauthorised access. EcoVault shall not be liable for any loss arising from your failure to safeguard your credentials.

EcoVault reserves the right to refuse registration to any person or entity at its sole discretion.

Description of Services

Subject to payment of the applicable Subscription Fee and compliance with these Terms, EcoVault grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for:

1. Recording and tracking maintenance compliance activities (grease trap servicing, pest control, temperature monitoring);
2. Generating automated compliance reports and maintenance reminders;
3. Preparing and exporting audit-ready documentation for NEA, SFA, or other Regulatory Authorities;
4. Managing your Establishment's compliance profile and historical maintenance records.

EcoVault may update, modify, or discontinue features of the Platform. Where a material change adversely affects your use, we will provide not less than 14 days' prior written notice.

Subscription & Payment Terms

4.1 — Fees & Payment: All Subscription Fees are displayed in Singapore Dollars (SGD) and are inclusive of applicable taxes. Payment is due in advance at the commencement of each Subscription Period.

4.2 — Automatic Renewal: Unless cancelled prior to the end of the current Subscription Period, your Subscription will automatically renew. EcoVault will send a renewal reminder at least 7 days before your renewal date.

4.3 — Price Changes: EcoVault reserves the right to revise Subscription Fees at any time with at least 30 days' advance notice. Changes take effect from your next renewal date.

4.4 — Cancellation Policy: You may cancel at any time through your account settings or by contacting support@ecovault.online. Cancellation takes effect at the end of the current Subscription Period. No pro-rated refunds are issued for partial periods.

4.5 — Refund Policy: No refunds on annual subscriptions except where required by applicable Singapore law or at EcoVault's sole discretion in exceptional circumstances. If EcoVault terminates your account without cause, a pro-rated refund of the unused period will be provided.

4.6 — Overdue Payments: Where payment is not received by the due date, EcoVault reserves the right to suspend access until outstanding amounts are settled in full.

User Obligations

As a condition of access to the Platform, you agree to:

• Use the Platform solely for lawful purposes and in accordance with these Terms;
• Ensure all Compliance Records uploaded are accurate, complete, and not misleading;
• Obtain all necessary consents required to upload data relating to your Establishment, employees, or third-party service providers;
• Keep your account credentials confidential and not share them with unauthorised persons;
• Immediately notify EcoVault of any security breach or suspected unauthorised access;
• Comply with all applicable Singapore laws, including the PDPA, the Environmental Public Health Act, and all NEA and SFA requirements;
• Not represent that your Establishment is compliant with any regulatory requirement solely by virtue of using the EcoVault Platform.

Prohibited Use

You must not, and must not permit any third party to:

• Use the Platform for any unlawful, fraudulent, or malicious purpose;
• Upload false, fabricated, or misleading Compliance Records, inspection reports, or maintenance logs;
• Attempt to gain unauthorised access to any part of the Platform, its servers, or databases;
• Reverse engineer, decompile, or attempt to extract the source code of any part of the Platform;
• Reproduce, sell, or exploit any portion of the Services without EcoVault's express written consent;
• Introduce any virus, malware, or other harmful code into the Platform;
• Scrape or systematically extract data from the Platform by automated means;
• Circumvent or interfere with any security-related features of the Platform;
• Sublicense, transfer, or assign your account or Subscription without EcoVault's prior written consent.

Intellectual Property

7.1 — EcoVault's Intellectual Property: The Platform, including all software, code, algorithms, user interfaces, design elements, trade marks, logos, report templates, and documentation ("EcoVault IP"), is and shall remain the exclusive intellectual property of EcoVault, protected under applicable intellectual property laws. Nothing in these Terms transfers any intellectual property rights in the EcoVault IP to you.

7.2 — User Content: You retain ownership of all Compliance Records and data that you upload ("User Content"). By uploading User Content, you grant EcoVault a limited, non-exclusive, royalty-free licence to store, process, and display such content solely for the purposes of providing the Services. EcoVault will not use your User Content for any other purpose without your consent.

7.3 — Feedback: If you submit suggestions or feedback regarding the Platform, you agree that EcoVault may use such feedback freely, without restriction or compensation, to improve the Services.

Limitation of Liability & Indemnity

8.1 — Disclaimer of Warranties: The Platform and Services are provided on an "as is" and "as available" basis without warranties of any kind. EcoVault does not warrant that the Platform will be uninterrupted, error-free, or that reports generated will result in regulatory compliance.

8.2 — Limitation of Liability: To the maximum extent permitted by applicable law, EcoVault's total aggregate liability for all claims shall not exceed the total Subscription Fees paid by you in the three (3) calendar months immediately preceding the event giving rise to the claim.

8.3 — Regulatory Responsibility: EcoVault is a software platform, not a licensed compliance consultant or regulatory agent. EcoVault shall not be responsible for any regulatory penalties or enforcement actions taken against the User's Establishment by NEA, SFA, or any other government authority.

8.4 — Indemnification: You agree to indemnify and hold harmless EcoVault, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use or misuse of the Platform, your violation of these Terms, or the accuracy of any Compliance Records uploaded by you.

Termination & Suspension

9.1 — Termination by You: You may terminate your Subscription at any time by cancelling through your account settings or by written notice to EcoVault at support@ecovault.online. Termination takes effect at the end of the then-current Subscription Period.

9.2 — Termination by EcoVault: EcoVault may immediately suspend or terminate your access if:

• You materially breach any provision of these Terms;
• You engage in any Prohibited Use as set out in Clause 6;
• You fail to pay any Subscription Fee when due for more than 14 days;
• EcoVault is required to do so by applicable law or competent authority.

9.3 — Effect of Termination: Upon termination, your licence to use the Platform ceases immediately. You may request an export of your User Content within 30 days of termination; after this period, EcoVault may permanently delete your data. Clauses relating to intellectual property, liability, indemnity, and governing law shall survive termination.

Governing Law & Dispute Resolution

10.1 — Governing Law: These Terms shall be governed by and construed exclusively in accordance with the laws of the Republic of Singapore.

10.2 — Amicable Resolution: In the event of any dispute, the parties shall first attempt to resolve it through good-faith negotiations within 30 days of written notice.

10.3 — Mediation: If unresolved, either party may refer the dispute to mediation administered by the Singapore Mediation Centre (SMC). Mediation costs shall be borne equally by the parties.

10.4 — Litigation: If not resolved through mediation within 60 days, either party may bring proceedings in the courts of the Republic of Singapore, to whose exclusive jurisdiction both parties irrevocably submit.

General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and EcoVault and supersede all prior agreements.
• Amendments: EcoVault may amend these Terms at any time with at least 14 days' prior notice. Continued use constitutes acceptance.
• Severability: If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force.
• Waiver: No failure by EcoVault to exercise any right constitutes a waiver. Any waiver must be in writing.
• Assignment: EcoVault may assign its rights to any successor entity. You may not assign your rights without EcoVault's prior written consent.
• Force Majeure: EcoVault shall not be liable for delay or failure due to circumstances beyond its reasonable control, including acts of God, government actions, internet outages, or cyberattacks.
• No Partnership: Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship.
• Language: These Terms are in English. In the event of any conflict with a translation, the English version shall prevail.
